PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY. Participation in the Bacon Rentals Rent+ Rewards Program (the “Program”) constitutes acceptance of and agreement to be bound by these Terms and Conditions (the “Terms”). If you do not agree to these Terms, you must decline participation in the Program. Bacon Rentals reserves the right to modify, amend, or terminate the Program or these Terms at any time and without prior notice, and any such modifications will be effective upon posting at www.baconrents.com/rewards or other designated communication methods.

1. Purpose of the Program

The Program is a loyalty and incentive program established by Bacon Rentals (the “Company”) to reward eligible customers (“Members” or “Customers”) who demonstrate a commitment to consolidating their rental spending with the Company. In exchange for such commitment, Members may earn annual cash rebates and gain access to certain exclusive benefits, subject to the terms, conditions, and limitations set forth herein.

2. Definitions

For the purposes of these Terms, the following definitions shall apply:

“Qualifying Rental Revenue” shall mean all gross rental revenue from equipment rented under the Member’s account from Bacon Rentals. Qualifying Rental Revenue shall expressly exclude merchandise or parts sales, delivery, pickup or transportation fees, taxes or government-imposed regulatory fees, REP/RLP charges, payments for lost or stolen equipment, fuel charges, cleaning charges, and any other non-rental fees or charges unless expressly approved in writing by Bacon Rentals.

“Current Account Status” shall mean that the Member’s account with Bacon Rentals remains fully paid. Any outstanding or overdue balance, regardless of duration or amount, shall constitute a failure to maintain Current Account Status and shall trigger forfeiture of any rebate earnings as described herein.

“Rebate” shall refer to the annual cash payment earned by the Member through participation in the Program and calculated in accordance with Section 5 of these Terms.

​

3. Eligibility and Enrollment

Membership in the Program is offered strictly by invitation and is granted solely at the discretion of Bacon Rentals. To enroll in the Program, the prospective Member must complete and sign a Rent+ Rewards Program Application provided by Bacon Rentals and must provide information including, but not limited to, the Member’s prior-year rental spend with Bacon Rentals, projected annual rental revenue for the upcoming year, and anticipated equipment needs. Bacon Rentals retains the sole and absolute right to approve or deny any application for membership, and enrollment shall not be effective until the application is reviewed and accepted by the Company. Membership is non-transferable and is limited to one account per business entity. Continued membership is subject to ongoing compliance with these Terms and may be revoked at any time as further described in Section 8.

4. Member Obligations

By enrolling in the Program, the Member expressly agrees to maintain a Current Account Status throughout the entire calendar year. In the event the Member’s account becomes past due at any point during the calendar year, regardless of whether such balance is subsequently paid in full, all rebate earnings accrued for that year shall be automatically and irrevocably forfeited without notice, reinstatement, or recourse. The Member further agrees to make Bacon Rentals their preferred provider and first point of contact for all equipment categories offered by Bacon Rentals and to consider Bacon Rentals as their primary vendor in connection with relevant project planning and bidding activities. The Member shall also agree to meet with a designated Bacon Rentals representative on a quarterly basis for the purpose of reviewing upcoming projects, projected equipment requirements, and opportunities for Bacon Rentals to assist with planning and bidding. The Member is required to provide accurate and updated information regarding rental revenue and projected equipment needs annually in order to maintain eligibility for the Program. Failure to comply with any of these obligations may result in immediate termination of membership and forfeiture of any pending rebate earnings.

5. Rebate Calculation and Payment

Rebates shall be calculated annually based upon the Member’s total Qualifying Rental Revenue for the calendar year, which shall run from January 1 through December 31. The applicable rebate percentage shall be determined in accordance with the following schedule:

Rebates shall be calculated as of December 31 of each year and shall be paid on or before February 15 of the following year. All determinations made by Bacon Rentals regarding Qualifying Rental Revenue, rebate percentages, and rebate amounts shall be final, binding, and conclusive. Rebates will be issued in the form of a check or such other payment method as determined by Bacon Rentals in its sole discretion. Rebates are not prorated and will not be paid for partial-year participation. Any rebates forfeited pursuant to these Terms shall not be reinstated.

6. Member Benefits

In addition to rebate earnings, Members may receive certain discretionary benefits, which may include preferred labor rates for field repairs, priority access to equipment during periods of high demand, promotional offers, early access to new equipment, and marketing opportunities such as promotion on Bacon Rentals’ official social media channels. Bacon Rentals reserves the right to modify, amend, or discontinue any such benefits at any time without notice. Nothing contained herein shall obligate Bacon Rentals to continue offering any particular benefit.

7. Forfeiture of Rebates and Benefits

All rebate earnings and other membership benefits shall be immediately and irrevocably forfeited in the event that the Member fails to maintain Current Account Status, provides false or misleading information during enrollment or ongoing reporting, or engages in conduct that Bacon Rentals, in its sole judgment, deems harmful to its reputation or business interests. Forfeiture shall occur automatically without the need for notice, and forfeited amounts shall not be recoverable under any circumstances.

8. Termination of Membership

Bacon Rentals reserves the absolute right to suspend or terminate a Member’s participation in the Program at any time and for any reason, including, but not limited to, failure to comply with these Terms, failure to maintain Current Account Status, or the provision of inaccurate or misleading information. Termination shall be effective immediately upon notice by Bacon Rentals, and upon termination, the Member shall forfeit all pending rebates and benefits. The Member shall remain responsible for any outstanding obligations owed to Bacon Rentals at the time of termination.

9. Program Modifications

Bacon Rentals may, in its sole and absolute discretion, modify, suspend, or terminate the Program, including but not limited to rebate tiers, definitions of Qualifying Rental Revenue, eligibility criteria, or other Program features, at any time and without prior notice. Any such changes shall be effective immediately upon posting at www.baconrents.com/rewards or such other website or communication platform as designated by Bacon Rentals.

10. Limitation of Liability

Bacon Rentals’ liability with respect to the Program is strictly limited to the rebate amounts actually earned and paid in accordance with these Terms. Under no circumstances shall Bacon Rentals be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits or business interruption, arising out of or in connection with participation in the Program, whether based on breach of contract, tort, negligence, strict liability, or other legal theory, even if Bacon Rentals has been advised of the possibility of such damages.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the state of Hawaii, without regard to conflicts of law principles. The parties agree that any disputes arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located within the state of Hawaii, and the parties hereby submit to the personal jurisdiction of such courts.

12. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid, unlawful, or unenforceable provision shall be replaced with a valid and enforceable provision that most closely reflects the original intent of the parties.

13. Entire Agreement

These Terms constitute the entire agreement between Bacon Rentals and the Member with respect to participation in the Program and supersede all prior or contemporaneous agreements, understandings, or representations, whether oral or written, relating to the Program. No oral statements or prior written material not expressly incorporated herein shall be of any force and effect.

14. Acceptance of Terms

By signing the Rent+ Rewards Program enrollment form, the Member acknowledges that it has read and understood these Terms and Conditions and agrees to be bound by them in full.
